BYLAWS

 

ARTICLE 1.  NAME

This School shall be known as Folsom Chinese School, Inc., hereinafter referred to as “School.”

ARTICLE 2.  PURPOSE

A.  The purposes of this School are to provide class learning of the Chinese language, promote the fine culture of China, stress the balanced development of virtue, knowledge, body and community growth, and emphasize real life application.

 

B.   The School shall maintain its financial status as a non-profit, educational organization with funds derived from tuitions, contributions, and grants.  The School shall not be involved in any local or foreign party politics, and shall not be used for the purpose of endorsing candidates for public offices.

 

C.  The School shall not discriminate in anyway on the basis of race, sex, and national origins with respect to admission, student privileges, scholarship, teacher, and staff selections.

ARTICLE 3.  MEMBERSHIP

The School shall have two categories of members: School member and Honorary member

 

A.                 School Members including:

 

·         Parents of guardians whose children are currently registered at the School

·         Teachers and board members

·         Adult students who are 18 or older and currently register at the School

       School members are eligible to participate school activities.

 

B.         Honorary members who are interested in promoting the goals of the school shall be nominated and elected by the Board of Directors.

 

ARTICLE 4.  BOARD OF DIRECTORS

The Board of Directors shall consist of five members, hereinafter referred to as the “Board.”

A.        The primary duties of the Board members shall be to determine and implement policies of the School.  Examples of specific responsibilities include:

 

·         To determine academic schedules, contract with teachers, arrange classroom facilities,

      and approve teaching materials

·         To establish a responsible fiscal policy including determining teachers’ fees, tuition fees,

      etc.

·         To promote the policies of the School and to foster interactions between the School

      and the community

 

B.         Board consists of five board members (each must have at least one child enrolled as a registered student in this school).

 

C.         Each director position shall have a term of two years and each director can serve no more than two terms consecutively

 

D.        Candidates for Directors may be nominated by the Board or by members, and selected by Board with a simple majority vote or a simple majority vote by members. Any director can be removed without cause by a simple majority vote by the Board or a simple majority vote by members. In case of a vacancy on the Board, the President shall appoint an interim Director, approved by the Board with a majority vote, to fulfill the remaining term.

 

E.         The Board member shall serve without pay for their service function, but they may be reimbursed for reasonable out-of-pocket expense related to their organizational function, as budgeted or approved by either the Board or the President.

 

F.         The Board shall meet regularly at least once every two months.  All actions except those specified otherwise in the Bylaws, shall be decided by a simple majority vote. 

 

G.         The Board shall include a President, a vice president, a Principal, a Secretary, and a Treasurer.

 

·                     President:                The President shall be in charge of general supervision, direction, School’s business, and public relation.

·                     Principal:                 The Principal shall supervise and administer the affairs of the School.  The Principal may select officials to assist the school operations.

·                     Secretary:               The Secretary shall record the meetings of the Board of Directors and of the School Member Council, and shall perform other duties as the President may prescribe.

·                     Treasurer:               The Treasurer shall receive and deposit all School funds, disburse the funds in the manner determined by the Board of Directors.  The Treasurer shall be in charge of School registration, keep financial records; make all fillings required by law, and report on School’s financial condition at each Board meeting.

·                     Vice President:        The Vice President shall be in charge of students’ records, School directory, and shall perform other duties as the President may prescribe.

 

 

ARTICLE 5:      FISCAL YEAR

The School shall operate on a fiscal year defined from January1th to the following December 30th.

 

ARTICLE 6:  AMENDMENTS

Amendments to the Bylaw may be proposed and approved by the majority of the Board
